By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Restrictions

Feedback

By submitting User Content, you grant Technologic LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute and create derivative works of your User Content to provide the Service.

Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate these Terms or any law
• Your User Content does not infringe on third-party rights
• You have obtained all necessary consents for your User Content

7. Service Availability and Modifications

We strive to keep the Service available 24/7, but we do not guarantee uninterrupted or error-free access. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.

CoTalent.AI is not intended to provide professional advice (legal, financial, medical, etc.). Any information provided through the Service is for general informational purposes only.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNOLOGIC LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Technologic LLC and its officers, directors, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use or misuse of the Service, your User Content, or your violation of these Terms.

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles.

Informal Dispute Resolution

Before filing a claim, you agree to contact us at clay@cotalent.ai to attempt to resolve the dispute informally. We'll try to resolve it within 60 days.

12. Termination

You may stop using the Service and close your account at any time by contacting support.

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms, fraudulent or illegal activity, or any reason at our discretion.

13. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Technologic LLC regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms to any affiliate or successor without restriction.
